  1. Acceptance of Terms

By accessing or using the Rhea.Chat website and services (“Rhea.Chat” or the “Service”), you agree to be bound by these Terms of Service (“Terms”). These Terms form a legally binding agreement between you and Matsurge Mateusz Tylec (“we”, “us”, or “our”), the owner and operator of Rhea.Chat. If you do not agree with these Terms, do not use the Service. You must also comply with our Privacy Policy (see Rhea.Chat Privacy Policy) and any additional terms that may apply to specific features of the Service. If you are using Rhea.Chat on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

  1. Eligibility

Minimum Age: You must be at least 16 years old to create an account or use Rhea.Chat. We do not knowingly allow individuals under 16 to use the Service. By using Rhea.Chat, you represent that you are 16 or older. If you are under the age of majority in your jurisdiction, you must have your parent or legal guardian’s permission to use Rhea.Chat. We may ask you to verify your age at any time. Accounts of users under 16 years of age will be terminated and personal data deleted if we discover such accounts (see Children’s Privacy in our Privacy Policy).

  1. Description of Service

Rhea.Chat is a web-based AI integration platform that allows users to engage in conversational interactions with various artificial intelligence models and to integrate third-party productivity tools within those conversations. Key features of the Service include: AI Model Conversations: You can chat with AI models through a unified chat interface. These AI models are provided by third-party AI providers and are integrated into Rhea.Chat for your convenience. Third-Party Tool Integrations: Rhea.Chat enables connections to external services and tools. Via an “@mention” syntax in the chat, you can instruct Rhea.Chat to interact with these connected tools. Integration Management: Through your Rhea.Chat dashboard, you can manage connections to AI providers and third-party tools. Integrations are authorized by you using OAuth flows or API keys, and you can review or revoke these at any time. Free and Paid Plans: Rhea.Chat may offer a free plan with basic functionality and paid subscription plans with additional features or higher usage limits. Details of current plans and pricing are provided on our website or app interface. We continually improve and update Rhea.Chat. Beta features or trial services may be offered from time to time, which are provided “as is” and may be subject to additional terms. We reserve the right to modify or discontinue any part of the Service (temporarily or permanently) with or without notice, as long as such changes do not retroactively reduce your rights under these Terms.

  1. User Accounts and Registration

To use Rhea.Chat, you need to create a user account. When registering: Accurate Information: You agree to provide truthful, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the accuracy of the information (such as your email address) so we can contact you if necessary. Account Security: You must keep your login credentials (username/password or OAuth tokens) confidential. Do not share your account or give others access. You are responsible for all activities that occur under your account. If you suspect any unauthorized use of your account or a security breach, you must notify us immediately at our contact email provided below. Account Use: You are responsible for ensuring that your use of the account complies with these Terms and all applicable laws. You must not use another user’s account without permission. Multiple Accounts: We may limit the number of accounts that can be created per individual or entity. Creating multiple accounts to circumvent feature limitations or abuse the Service is prohibited. We reserve the right to suspend or terminate accounts that are unverified, inactive for an extended period, or which we suspect are being used in violation of these Terms or for fraudulent or illegal activity.

  1. Fees, Payments, and Refunds

Certain advanced features or higher usage limits of Rhea.Chat are available only through paid plans (subscriptions). By subscribing to a paid plan, you agree to the following terms: Fees: You will pay all applicable subscription fees as displayed at the time of purchase. Prices are in the currency indicated and are inclusive or exclusive of taxes as stated. You are responsible for any taxes or duties payable (except taxes on our income). Payment Processing: Payments are processed via Stripe, a third-party payment processor. When you provide payment information (such as credit card details), that information is sent directly to Stripe over encrypted connections. We do not store your full credit card details on our servers. Stripe’s services are governed by Stripe’s own terms and privacy policy. By paying for a Rhea.Chat subscription, you agree to Stripe’s processing of your payment and personal data (see Stripe’s Privacy Policy for details). Authorization: By subscribing, you authorize us and Stripe to charge your provided payment method for the initial subscription term and any recurring renewal terms until you cancel. Subscription plans will automatically renew at the end of each billing cycle (e.g., monthly or annually) unless you cancel beforehand. Cancellation: You can cancel a paid subscription at any time via your account settings or by contacting support. If you cancel, you will continue to have access to paid features until the end of your current billing period. No refunds will be issued for partial periods unless required by applicable law. We do not generally offer prorated refunds for mid-term cancellations. Free Trials and Promotions: If we offer a free trial or promotional discount for a paid plan, you must cancel before the end of the trial period to avoid being charged the regular rate. After a promotion ends, standard fees will apply. Upgrades and Downgrades: If you upgrade your plan, the change may take effect immediately and you may be charged a prorated amount for the remainder of the billing period. If you downgrade, the change will usually apply from the next billing cycle (continuing your current plan until then). Failed Payments: If your payment method fails or your account becomes past due, we may attempt to charge again or contact you to update payment information. We reserve the right to suspend or terminate your access to paid features if fees remain unpaid. All fees are non-refundable except as required by law or explicitly stated otherwise. If you believe there has been an error in billing, please contact us promptly so we can review and correct any mistake.

  1. Third-Party Integrations and Services

Rhea.Chat integrates with third-party AI providers and productivity tools to provide its core functionality. By enabling or using these integrations, you understand and agree to the following: Third-Party AI Providers: When you converse with an AI model through Rhea.Chat, your prompts, messages, and relevant context may be sent to an external AI service to generate a response. Rhea.Chat can interface with models from OpenAI, Anthropic, DeepSeek, Perplexity, Together AI, Google, etc. These AI services are operated by third parties, not by Rhea.Chat. Each provider has its own Terms of Service and Privacy Policy that govern your use of their AI model. We encourage you to review those terms. By using a given AI provider via Rhea.Chat, you are also agreeing to comply with that provider’s terms. If you do not agree with an AI provider’s terms, do not use that provider’s model through our Service. Third-Party Productivity Tools: If you connect a third-party tool to Rhea.Chat, you grant us permission to access and manipulate data from that tool on your behalf. These interactions require us to use the OAuth tokens or API keys you provide to send requests to the third-party service. You are responsible for reviewing and complying with the third-party service’s own terms and policies. We are not responsible for any third-party service’s behavior, data handling, or downtime. Scope of Access: When you authorize an integration, we will request access permissions appropriate to the intended functionality. You have control over which integrations you enable and can revoke access at any time via your Rhea.Chat dashboard or through the third party. It is your responsibility to manage these permissions. Use of Data from Integrations: We will access and use data from third-party integrations only as necessary to provide the Service features you request. We do not use the data obtained from your third-party accounts for any purpose other than to fulfill your specific requests within Rhea.Chat, and as otherwise described in our Privacy Policy. We do not sell or share your third-party data with unrelated parties. No Endorsement or Control: Rhea.Chat’s integration of third-party services does not imply endorsement or warranty of those services. We do not control the third-party services and are not liable for their content or actions. We simply provide links or technical connections for your convenience. You should exercise discretion and caution when sharing information via Rhea.Chat to any third-party service. Integration Availability: We do not guarantee that any particular third-party integration or AI provider will continue to be available. Third-party providers may change their API terms, pricing, or functionality, which could affect Rhea.Chat’s ability to integrate with them. We may add or remove integrations at our discretion. We will try to inform users if a major integration is being deprecated. OAuth and API Keys: For OAuth-based integrations, you will be redirected to the third-party service to log in and grant permissions. Rhea.Chat will receive an access token; we will store and protect this token (see Security in Privacy Policy) and use it to make requests you authorize. For API key integrations (if applicable), you are responsible for securely providing your API key through our interface. Do not share API keys or tokens in the chat directly. Use the designated integration settings to add them. If you accidentally expose a key in a chat, consider it compromised and regenerate it with the third-party service. User Responsibility: You agree that you will use third-party integrations through Rhea.Chat in compliance with all applicable laws and the third parties’ terms. You will not use Rhea.Chat to improperly access, obtain, or tamper with someone else’s data on a third-party service without authorization. If you misuse third-party integrations, we may terminate your Rhea.Chat account and you may also face consequences from the third-party provider. You agree to indemnify us for any claims arising from your misuse of third-party services through Rhea.Chat (see Indemnification below).

  1. Acceptable Use Policy

When using Rhea.Chat, you must not engage in any conduct that is illegal, harmful, or violates anyone’s rights. You agree to use the Service only for lawful purposes and in accordance with these Terms. By way of example, and not as an exhaustive list, you agree not to: Violate Laws or Rights: Do not use Rhea.Chat to violate any law, regulation, or court order. Do not infringe the intellectual property, privacy, or other rights of any person or entity. This includes not uploading or sharing content (through prompts or tool integrations) that you do not have the right to use. Abuse, Harass, or Harm: Do not use Rhea.Chat to harass, threaten, bully, or stalk others. Do not generate or share content via the Service that is defamatory, obscene, profane, or otherwise objectionable or that promotes hate, violence, or discrimination against any group. Malicious Activities: Do not introduce malware, viruses, or any other harmful code into Rhea.Chat or use the Service to distribute malware. Do not attempt to disrupt or interfere with the integrity or security of the Service or any communications on the Service (e.g., do not launch denial-of-service attacks, attempt to hijack sessions, or probe/vulnerability scan our systems without authorization). Unauthorized Access: Do not attempt to gain unauthorized access to any accounts, systems, or networks connected to Rhea.Chat. Do not misuse any provided APIs or reverse engineer the software or security measures of the Service. Any attempt to circumvent access controls or quota limitations is prohibited. Automated Use and Scraping: The Service is intended for interactive use by human users. Do not run mass automated queries, use bots, or scrape the Service’s responses or data without our permission. (Reasonable use of automation for personal productivity via our provided API, if any, or official integrations is allowed, but bulk extraction of data or leveraging Rhea.Chat for data harvesting is not permitted.) Impersonation and Deception: Do not impersonate any person or entity or misrepresent your affiliation with any person or entity when using the Service. Do not use Rhea.Chat to generate phishing messages or fraudulent content intended to deceive or defraud others. Content Restrictions: You must not use the Service to generate or share content that is sexually explicit (especially involving minors, which is strictly forbidden), that promotes self-harm or suicide in a way that is not educational or therapeutic, or that contains extremely graphic violence. Additionally, you must not use Rhea.Chat to request or disseminate personal data of others (e.g., someone else’s credit card numbers, social security numbers, passwords) unless you have a lawful basis and consent to process that data. No Illegal Transactions: Do not use Rhea.Chat to facilitate or carry out any illegal transactions, such as the sale of prohibited substances, trafficking, or exchanging illicit materials. The Service may not be used for any activity that would violate sanctions or export control laws. Model and Tool Policies: Some integrated AI models or tools may have their own usage policies. When using those models via Rhea.Chat, you must also adhere to their usage policies. We reserve the right to enforce such third-party usage policies by filtering or blocking certain requests or content. We reserve the right to monitor (in accordance with our Privacy Policy) content submitted to or generated by the Service to ensure it complies with these Terms and with our policies. We may remove or restrict access to content that violates these Terms or applicable law, and we may report unlawful conduct to authorities. If you violate the above acceptable use provisions, we may terminate or suspend your account immediately and you may be banned from future use of Rhea.Chat.

  1. User Content and Intellectual Property

8.1 Your Content

In the course of using Rhea.Chat, you may provide content to the Service, such as the text of your prompts, messages, file uploads, or other data (“User Content”). You retain any intellectual property rights you already hold under law in the content you submit that is original to you. We do not claim ownership over your User Content. However, by using Rhea.Chat, you grant us a license to use your User Content strictly for the purpose of operating and improving the Service: This license is non-exclusive, worldwide, royalty-free, and sublicensable (only to our subprocessors like cloud hosting providers or integrated AI service providers as needed to fulfill the Service). The license allows us to process, transmit, and display your content to provide you with AI responses or tool integrations, and to store it on our servers. We will not use your User Content to train our own AI models or to improve third-party models. You represent and warrant that you have the necessary rights to upload or share any User Content and to grant us the above license. Do not submit content that is proprietary or confidential to you or any third party unless you have permission, as the content will be shared with AI providers and could be included in your chat history. You can delete your User Content from Rhea.Chat by deleting specific messages or conversations (feature available in the interface) or by deleting your account. However, please note that removal from our active database may not be immediate and that deleted content might persist in backups for a limited time (see Data Retention in the Privacy Policy).

Message Storage and Training: All messages you send through Rhea.Chat are stored in our database for the purpose of delivering and displaying chat history and providing context for future interactions. We do not track or store user requests for analytics unless explicitly accompanied by user actions such as feedback (e.g., voting).

You acknowledge and agree that:

You store messages (chat content) in your database only to provide chat history and context.

You do not use user content to train any AI models, and neither does Rhea.Chat train models on that data.

When users upvote/downvote a message, this feedback is stored only to improve Rhea.Chat's functionality (e.g., ranking responses), not for training AI.

Message content is sent directly to the chosen third-party AI provider for processing.

Neither Rhea.Chat nor its AI providers use your content for training models unless you have opted in via the provider's platform (where applicable).

If you choose to upvote or downvote an AI-generated message, that signal is recorded and used only to improve internal application logic, such as ranking model responses or understanding general preferences. It is not shared with any AI provider and is not used for AI training.

8.2 AI-Generated Content The Service allows you to provide prompts, scripts, queries or other input ("Input") to generate AI-powered output ("Output") through various AI Providers including OpenAI, Anthropic, Perplexity, Groq, Together AI, Fireworks AI, Mistral AI, Google, and xAI. You agree to comply with all terms, conditions, guidelines and policies of these AI Providers, including but not limited to OpenAI Terms of Use, Anthropic's Commercial Terms of Service, Perplexity's Terms of Service, Groq's Terms of Use, Together AI's Terms of Service, Mistral AI's Terms of Service, Google Gemini API's Additional Terms of Service and xAI's Enterprise Terms of Service. By submitting Inputs, you grant all necessary licenses and rights to the AI Providers as specified in their respective terms.

To the extent permitted by law, you own all Input you provide and, provided you comply with these Terms of Service, we assign to you any copyright ownership interest we may have in your Output. You are responsible for ensuring all Input and Output complies with applicable laws and these Terms of Service. Rhea.Chat forwards your Inputs to AI Providers and store Inputs and Output generation to provide you with access to previous conversations. You can delete your Inputs and Outputs from Rhea.Chat by deleting specific messages or conversations.

Due to the nature of automated content generation, different users may receive identical or similar Output, even when providing similar Input. Responses generated for other users are not considered your Output. You hereby release Rhea.Chat and its affiliates, employees, officers, directors and representatives from any liability regarding copyright, trademark or other infringement claims related to the Output.

The Service may sometimes produce Output that contains inaccuracies or doesn't correctly represent real people, places or facts. You are responsible for evaluating and verifying the accuracy of any Output for your specific use case.

You acknowledge that AI-generated Output has inherent limitations, including: (a) potential errors or misleading information, (b) lack of creative thinking resulting in repetitive or formulaic content, (c) difficulty understanding language nuances, slang, idioms, and cultural references, (d) inability to understand or convey human emotions, (e) potential perpetuation of biases from training data, which may result in discriminatory or offensive content, (f) limitations with complex reasoning, judgment and decision-making tasks, (g) dependence on training data quality which affects output accuracy, and (h) an impersonal quality compared to human-created content.

8.3 Our Intellectual Property

All rights, title, and interest in and to the Rhea.Chat platform and its underlying technology, software, design, and know-how are owned by Matsurge Mateusz Tylec or our licensors. This includes our logos, trademarks, branding (“Rhea.Chat Marks”), and the compilation of content and interface elements on our website. These Terms do not grant you any ownership rights in Rhea.Chat or any intellectual property of ours or our partners, aside from the limited rights to use the Service as permitted. You may not use the Rhea.Chat name or logo without our prior written consent except as necessary for attribution (such as a factual statement that you use Rhea.Chat). You agree not to copy, distribute, modify, or create derivative works of our Service or content (except your own content) without permission. If you abide by these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use Rhea.Chat for your personal or internal business use. All rights not expressly granted to you are reserved by us.

  1. Disclaimers of Warranty

Use at Your Own Risk: Rhea.Chat provides a novel service that integrates AI technology and third-party tools. While we aim for high availability and accuracy, the service is provided “AS IS” and “AS AVAILABLE”. To the fullest extent permitted by law, we and our affiliates, suppliers, and partners disclaim all warranties (express or implied) regarding the Service, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. In particular: AI Outputs: You understand that AI models may produce content that is incorrect, unverified, or inappropriate. No information or advice provided by the AI should be considered professional or expert advice. We make no warranty that the AI’s responses will be factual, reliable, or suitable for any purpose. Third-Party Integrations: We do not guarantee continuous, error-free connectivity to third-party services. Data obtained from integrated tools is provided “as is” from those services. We are not responsible for errors or omissions in that data. We also do not guarantee that commands sent to third-party services will actually be executed by them properly. Service Uptime and Data Integrity: While we implement industry-standard security measures and backup procedures to protect your data, you acknowledge that no online service can guarantee 100% uptime or complete data integrity. Rhea.Chat may experience occasional outages, delays, or errors. We take full responsibility for maintaining regular backups of your data and will make commercially reasonable efforts to ensure service availability and data protection. No Warranty on Outcomes: Using Rhea.Chat might help you be more productive, but we do not guarantee any specific outcomes or results from using the Service. Any success stories or examples we provide are illustrative only and not guarantees. Beta Features: If you are using any beta or experimental features, you understand those are in testing and provided without any warranties whatsoever and may be changed or removed at our discretion. Some jurisdictions do not allow the exclusion of certain warranties. To the extent that such laws apply to you, some of the above disclaimers may not apply. In such cases, any required warranty is limited to the minimum warranty period allowed by law.

  1. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Matsurge Mateusz Tylec or its officers, employees, agents, or partners be liable for any indirect, incidental, special, consequential, or punitive damages (including damages for lost profits, revenues, goodwill, data, or data use, or for business interruption or cost of procurement of substitute services) arising out of or in connection with your access to or use of (or inability to use) Rhea.Chat, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been informed of the possibility of such damage. Specifically, we will not be liable for: Errors by AI or Integrations: Any harm or loss resulting from reliance on AI-generated content or actions taken via third-party integrations. User Content or Conduct: Any offensive or illegal content generated or transmitted by users or AI on the Service, or any conduct of other users. While we may moderate or restrict such content, you may still encounter it and you waive any claims against us for any harm caused by such third-party content. Unauthorized Access: Unauthorized access to or alteration of your transmissions or data, or any loss or damage to your content due to third-party actions, as long as we have taken reasonable security measures. Loss of Data: The loss or corruption of your data or content used in Rhea.Chat. We encourage you not to rely solely on the Service for important data storage. Our total aggregate liability for all claims arising out of or relating to these Terms or the Service, regardless of the form of the action, will not exceed the amount you have paid to us for the Service in the last 12 months (if you are on a paid plan), or €50 EUR if you have not paid us (for free plan users). This limitation applies cumulatively to all types of claims you may bring (contract, tort, etc.). Exceptions: Nothing in these Terms is intended to limit or exclude liability that cannot be limited by law. Additionally, the above limitations may not apply to you in certain jurisdictions that do not allow the exclusion or limitation of incidental or consequential damages. You acknowledge and agree that the disclaimers and limitations of liability in these Terms are a fair and reasonable allocation of risk and an essential basis for our ability to offer the Service (especially any free components) to you.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Matsurge Mateusz Tylec (owner of Rhea.Chat) and its affiliates, officers, agents, employees, and partners from and against any and all third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with: Your Use of the Service: This includes your User Content, your use of AI outputs, and any actions you take using third-party integrations via Rhea.Chat. Violation of Terms: Any breach by you of these Terms or of any warranties or agreements made under these Terms. Violation of Law or Rights: Your violation of any law or regulation, or the infringement of any rights of a third party. Third-Party Services: Your interactions with third-party services through Rhea.Chat. For instance, if a third-party service provider brings a claim against us because you violated their terms or used their service via our platform in a prohibited manner, you will indemnify us for that liability. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. If we do so, you agree to cooperate with our defense of that claim. You may not settle any claim that involves a liability or admission of fault on the part of Rhea.Chat without our prior written consent.

  1. Termination of Service

12.1 By You:

You may stop using Rhea.Chat at any time. You may also delete your account at any time through the account settings or by contacting us. Deleting your account will terminate your license to use the Service and we will handle your data as described in the Privacy Policy (generally by deleting or anonymizing personal data, subject to retention requirements).

12.2 By Us:

We reserve the right to suspend or terminate your access to Rhea.Chat (in whole or in part) under the following circumstances: Violation of Terms: If you violate these Terms or our Privacy Policy, or any applicable laws, we may suspend your account immediately and potentially terminate it after investigation. Security Risk: If your account or use poses a security risk to the Service or any third party, or if you are detected to be using the Service in a malicious manner (e.g., attempting to hack, spread malware, etc.), we may suspend your access without prior notice. Discontinuation: If we decide to discontinue the Service entirely, we will provide you with at least 30 days’ notice via the email associated with your account or by announcing it on our website. Non-Payment: For paid plan users, if you fail to pay the required fees and do not remedy that within a reasonable period after notice, we may downgrade or suspend your account. If payment issues persist, we may terminate your paid features or account. Extended Inactivity: For free accounts, if you have not logged in or used the Service for an extended period (e.g., 12 months), we may deactivate or delete your account to free up resources. We will attempt to notify you at your registered email before deletion in such cases.

12.3 Effect of Termination:

Upon termination of your account for any reason: Your right to use the Service ceases immediately. You must stop accessing any part of Rhea.Chat. We may revoke access tokens or credentials associated with third-party integrations you set up via Rhea.Chat. (It’s also good practice for you to revoke Rhea.Chat’s access from the third-party side as well after your account is closed.) We will handle your data in accordance with our Privacy Policy. In general, personal data and content associated with a closed account will be deleted or anonymized within a reasonable timeframe, except to the extent we are permitted or required to retain certain data (e.g., for legal compliance or legitimate business interests such as resolving disputes or enforcing agreements). If you were on a paid subscription, you will not be entitled to any refund for the remaining period except at our discretion or as required by law. Any unpaid fees up to the termination date remain due. Even after termination, sections of these Terms that by their nature should survive will continue to apply. This includes (but is not limited to) provisions on intellectual property, warranties disclaimer, limitation of liability, indemnification, and governing law & disputes.

  1. Modifications to Terms

We may revise or update these Terms of Service from time to time. If we make material changes, we will notify users by email (to the address on your account) or by posting a prominent notice on our site prior to the change becoming effective. The “last updated” date at the top of the Terms will indicate the latest revision. Continued Use as Consent: By continuing to access or use Rhea.Chat after any revisions become effective, you agree to be bound by the updated Terms. If you do not agree to the new terms, you must stop using the Service and, if applicable, cancel your account. We encourage you to review these Terms periodically for any changes. If you have a paid subscription and a modification to the Terms materially adversely affects your rights, you may be entitled to terminate your subscription and receive a pro-rated refund for the unused portion of any prepaid fees (if you notify us within a reasonable period after the changes take effect), as required by applicable law.

  1. Governing Law and Dispute Resolution These Terms and any dispute arising out of or related to the Service or these Terms will be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law principles. However, if you are a consumer residing in the European Union or another country with consumer protection laws, you may have additional rights or protections under the mandatory laws of your country of residence, and nothing in these Terms will limit your rights to those mandatory protections. Jurisdiction: Any legal actions or proceedings arising out of these Terms shall be brought in the courts of competent jurisdiction located in Poland, likely the courts of the city/county where Matsurge Mateusz Tylec is registered (unless another venue is required by mandatory law, such as your local consumer courts). By using Rhea.Chat, you consent to the jurisdiction of such courts and waive any objections to jurisdiction or venue in those courts, provided that if you are a consumer resident outside of Poland, you may also choose to bring proceedings in your country of residence.
